WeAre8, PBC Terms of Use 

This is an agreement between community members (“individuals” or “you”) and WeAre8, PBC, (“we”, “us” or “WeAre8”) with respect to the use of our WeAre8 platform and WeAre8 mobile application. WeAre8 means, as context requires, WeAre8, PBC, the WeAre8 platform, and/or the WeAre8 mobile application. Our agreement includes these terms, our privacy policy, the terms of any advertising campaign a Brand submits or modifies and any other terms listed on our website for access to and use of WeAre8. Our company’s name is WeAre8, PBC. We are based in New York City and are organized as a corporation in Delaware.   Some materials also refer to our company, our platform and the mobile application as “The8Cloud”, “The8App”, or simply “8”.

By using WeAre8, you agree to follow these rules.  Please be sure to read our Privacy Policy which includes all GDPR compliance-related information.  WeAre8 reserves the right to update these terms and our privacy policy at any time.

Terms Of Use

I. WeAre8 Definitions

1. All community members of WeAre8, which may be either individual people or corporate entities, are referred to as “individuals” including you. WeAre8 has created a service called“WeAre8 platform” where Brands can contract directly with individuals to watch Paid Brand Videos and answer questions. The people or corporate entities who are eligible to send Paid Brand Videos to individuals through WeAre8 are “Brands”.

2. Brand can send Paid Brand Videos to individuals on WeAre8 which individuals can then accept and complete on the WeAre8 web app and receive a reward for it. Brands have the flexibility in regards to Payment and/or donation for the completion of the PaidBrand Videos.

a. Paid Brand Video completion– includes watching the full length of the video and answering all questions after it.

b.
Payment  – funds that will be deposited to the individual’s WeAre8 wallet 30 days after completion oft he Paid Brand Video.

c. Donation – funds that will be donatedto a charity of Brand’s choice 30 days after completion of the Paid Brand Video.

II. GENERAL INFORMATION ABOUT PAID BRAND VIDEOS

You need to complete full onboarding to be able to receive new Paid Brand Videos. Link to onboarding can be found on the Wallet tab of WeAre8 app or you can simply go to weare8.com. WeAre8 will notify you via Push notifications and emails when a newPaid Brand Video is available. If you choose not to watch a particular PaidBrand Video – you have an option to decline it.

III. Consents and Permissions you grant by using WeAre8

1. You will be given the opportunity to link your social accounts such as Facebook, Twitter, YouTube,and Instagram, TikTok. You expressly grant permission to WeAre8 to access all information associated with your social accounts on listed networks including but not limited to your profile’s posts, available inventory (meaning the details of the types of content you have posted on social networks) and data related to your profile and your audience, such as your number of followers,the demographics of your audience and the geographic locations of you and your followers, your content views and measures of popularity such as the number of engagements and reposts, as well as the performance of content on listed social networks.

2. You consent that WeAre8 maytrack, record and then resell listed above data in an aggregated and anonymized format. Your content on Social networks are being used only for moderation purposes. Although we won’t map this data to your name or personal information,it will get mapped to your general demographics so we can track how people interact with the content.

3. You consent to receiving inbound Sponsorships from brands for sponsorship, which you do not have to accept.

IV. Other General Permissions and Consents

WeAre8 has the right totrack, record and then resell aggregated data exclusive of Personal Identifiable Information (PII) associated with how you use WeAre8, including the types of Paid Brand Videos you view, accept, complete.

V. Compliance with Laws and Policies

WeAre8 reserves the right to remove your content, withhold any outstanding payments, deactivate or blacklist your account  if any of the compliances below are violated.

1. You agree that you and all Content will fully comply with applicable laws, rules, regulations, industry guidelines, and 8Stage rules.

a)    We respect and appreciate art in all its forms and its power to elevate humanity.
b)    We created WeAre8 to inspire and mobilize a billion people to take smallactions every day to solve the world’s biggest problems, so please use your power to influence others responsibly.
c)    There is no hate on WeAre8. We do not tolerate racist, sexist or abusive content.
d)    Create videos up to 1 minute, but under 30 seconds works best. You candirect people out to your other channels or your own websites for longer formvideos.
e)    Always tag and honor any collaborators.
f)     Your thoughts, words and actions are powerful. Please be kind and respectful to others.g)    We invite feedback and all your thoughts and ideas - please be open with us and give us time to implement your ideas.

2. You will ensure that your Content will not be (i) in violation of any intellectual property laws, (ii) defamatory in nature, (iii) in violation of our privacy policy,including through the use of other people’s names and contact information, (iv)used to sell illegal property, or (v) be pornographic, illegal, or offensive innature. You will cooperate with WeAre8 in removing or modifying any inappropriate Content relating to the Brand, its products. To the extent youa re not in compliance with the terms required under this Agreement (without limiting any remedies that may be available to us and a Brand in law orequity), you will promptly remove and take down any non-compliant Content, andwe may report you to the appropriate legal authorities.

3. WeAre8 will providetools and features to reasonably help you to comply with Applicable Laws.

4. You must be 13 or older to use WeAre8. If you are over 13 but under 18, you must have the permission of your parent or guardian.

5. You must not create any fake or duplicate profiles.
Only one WeAre8 account per individual and only one social account on each platform can be connected per WeAre8 community member. Any individual with more than one WeAre8 profile will have all active accounts flagged and permanently banned from the app.

6. Connected social accounts must be authentic and original. Fake accounts, accounts with content reposted or stolen from other people may be rejected and payouts denied.

7. All connected social accounts must be public and have 100+ followers, 15 pieces of content (80%original), and be created 6+ weeks ago. Accounts that do not meet these requirements will be ineligible to become verified creators on WeAre8.

8. Only individuals located in the United Kingdom will be eligible for Paid Brand Videos and /or payment. The use of a VPN to sign up to WeAre8 outside of the United Kingdom will not enable you to receive Paid Brand Videos or payment.

9. WeAre8 reserves the right to deny Verified Creator Status to any individual whose social accounts may cause a threat to brands. This includes accounts with inappropriate and illegal content including nudity, organized crime, hate groups, bullying, excessive violence selling firearms, drugs or excessive alcohol, and vulgar speech (verbal and written).

10. If an image ofa child appears in any photos or social posts, you have to be the legalguardian and have the right to agree to usage rights.

11. WeAre8 reserves the right to exclude any user from a specific promotion if we believe that there is abusive behavior.

VI. ADDITIONAL INFORMATION ABOUT THERELATIONSHIP BETWEEN YOU, BRANDS AND WEARE8:

1. Brands have full discretion of targeting for their Paid Brand Videos and they can choose to block their Paid Brand Videos from your profile based on any criteria they choose. They may also withdraw the Paid Brand Video.

2. WeAre8 does not warrant, promise or guarantee any level of brand sponsorships or pricing. WeAre8 has no control over Sponsor activity through WeAre8 and we are simply providing individuals the unique opportunity to have access to this advertising market through the WeAre8 mobile application. It is entirely up to you to earn your Sponsorships revenue by having great, engaging content, and building your own audience of followers who regularly view your content to demonstrate to Sponsors that their ads will perform well on your profile.

3. Except for the payments described below, WeAre8 does not take any responsibility for agreements reached between individuals and Sponsors using WeAre8.

4. You are the owner of the content you create and publish on WeAre8.

5. You hereby grant to WeAre8 a worldwide, irrevocable, perpetual, non-exclusive, transferable, royalty-free license, with the right to create derivative works, sublicense, use, edit,view, copy, adapt, modify, distribute, license, sell, host, market, transfer,publicly display, publicly perform, transmit, stream, broadcast, access, and otherwise fully exploit all content that you create (i.e. your posts) that is andpublish on WeAre8 as the platform currently exist or may be developed in the future.

6.  In cases where you are getting paid by WeAre8 or Brand to create and/or publish content(including publishing on your social media accounts), content that you create shall be considered a “work made for hire” according to copyright law of the country you are in, and such content (“Work Product”) and all intellectual property rights embodied therein shall be owned exclusively by the Brand and WeAre8. In the event any portion of the Work Product is not considered “work made for hire” or as otherwise necessary to ensure full ownership of the Work Product by Brand and WeAre8, you assign to Brand and WeAre8 all right, title and interest in and to such Work Product.  You agree to sign any additional documents that may be reasonably necessary to effect such assignment. You also acknowledge that WeAre8 and Brands can use your content and include your name,likeness, social media handle, channel/blog name and similar attributes in any manner that we or Brands determine supports the purpose of these Terms,including use in any media that accepts advertising, promotional content or communications (such as, but not limited to, digital, print, television or radio). We and Brands also have full discretion to “boost” (i.e. to make into advertisements and increase visibility) your sponsored content on social media platforms.

VII. PAYMENTS

 Payments willreach your WeAre8 wallet approximately 30 days after the Paid Brand Video iscompleted.  This length of time is to allow WeAre8 adequate time tocollect payment from Brands.

VIII. Collecting your funds

1. At the present time, you can only pay out funds from WeAre8 wallet through PayPal, unless you are in the United Kingdom and are an EE customer, in which case you can use available funds to credit your EE mobile bill. Otherwise, we do not offer alternative payment methods so you must have a PayPal account to receive payment.

2. The minimum amount that you can request for payout is $1.00 for US (£1.00 for UK).

3. At the time of disbursement, PayPal’s fee will be deducted from your pay out.. PayPal fee can be changed at any time by PayPal without a notice.

(1) PayPal fee for withdrawal in United States is $0.25 flat

(2) PayPal fee for withdrawal United Kingdom is 2% capped at £14

4. The first time that you select to “Redeem” funds from your account, you will be asked to link the PayPal account that you want to use for collection of payment.

(1) WeAre8 is responsible for making sure that the correct amount is submitted to PayPal for credit to your PayPal account.

(2) WeAre8 assumes no liability or responsibility for the services associated with your PayPal account.  You are subject to their terms of use including, but not limited to, PayPal’s own payment terms such as the length of time taken to credit the funds into your account.

Note that PayPal may require the verification of additional account information for the disbursement of certain amounts to maintain compliance with financial regulations and tax reporting.

5. If you are an EE customer in United Kingdom - you are eligible to use available funds to credit your EE mobile bill or PAYG account via EE Up or WeAre8 mobile applications.

(1) The minimum amount that you can request to credit your bill is £1.00.

(2) The first time that you select to “Redeem” funds from your account, you will be asked to register for the My EE App using valid email and password to set up this collection of payment. You will need mobile internet coverage or a Wi-Fi connection.

WeAre8 is responsible for making sure that the correct amount of Net Revenue is submitted to EE for credit to your EE account.

(4) WeAre8 assumes no liability or responsibility for the services associated with your EE account.  You are subject to their terms of use including, but not limited to, EE's own payment terms such as the length of time taken to credit the funds into your account.

(5) Note that EE may require the verification of additional account information for the disbursement of certain amounts to maintain compliance with financial regulations and tax reporting.

(6) Credits will be applied to your account within 24 hours. For Pay Monthly this will be reflected in your next bill. For PAYG credits will be applied to your top-up balance. Credits cannot be exchanged for cash.

VIII. COMPETITION

WeAre8 can runcompetitions on the platform. Exact competition details will be provided on acase per case basis. The general competition terms are provided below. Ifcompetition details will conflict with the terms below, competition detailswill prevail.

(2) No cash alternative.

Entrants must be based in the UK.

(4) Any personal information, including, without limitation, your name and email address will be used in accordance with the privacy policy available at https://www.weare8.com/privacy-policy.

IX. Verified Creator Status

1.    You may apply to become a verified creator.
2.    The application process involves connecting you social network accounts and going through both automatic and manual verification process.
3.    You will be notified if you are approved.
4.    Please make sure you are compliant with all the clauses in section V to get approved.

X. Publishing content on WeAre8

1.    Only Verified creators can publish content on WeAre8.
2.    All the published content is moderated.3.    Posts that are in Violation of section V will be removed, and violators will lose Verified Creator status.4.    Select posts will be approved to appear on 8Stage. You will receive a notification if your post is selected.

XI. Limits of Liability

We are not liable for any lost profits, lost data, lost opportunities, costs of cover, exemplary, punitive, personal injury, wrongful death, special, incidental, indirect or other consequential damages, each of which is hereby excluded. Our liability for any direct damages may not exceed the amounts actually paid by us to you in connection with WeAre8 in the last six (6) months. We are obligated to perform only those duties expressly described in these terms and in any agreement between you and any Brand. We are not be liable for any error in judgment, for any act taken or not taken, or for any mistake of fact or law, except for our gross negligence or willful misconduct.

    All information we collect may be aggregated and merged or enhanced with data from other sources, such as third parties or our SDK. We may also collect and store information locally on your device using mechanisms such as browser web storage (including HTML 5) and application data caches.

    4. How Does WeAre8 Share My Information?

    We share your information with the audience on the Website that you specifically identify as well as anyone when you share public content. All details about your public profile may be shared with other Website users.

    We may disclose your information to third parties who help us with our business functions, such as service providers or suppliers, and with business partners.
